CORE-FM Service Terms and Limitation of Liability
Effective September 30, 2026 — Version 2026-09-30

1. Agreement and authority
These terms govern CORE-FM supplied by Logic Foundry Solutions Inc. to the customer company identified at signup. The accepting person confirms authority to bind that company. The Privacy Notice explains personal-information handling and does not replace statutory rights or obligations. Keep the emailed copy of these terms.

2. Subscription and payment
CORE-FM is CAD $50 per physical property per month; CORE-FM Connected is CAD $75 and includes up to 10 monitored sensors. Each property includes up to 25 active staff; shared staff count at each assigned property and company super users count at every property. Archived users, external vendors and public reporters do not count. Separate physical locations require separate properties unless we agree otherwise in writing. Hardware, applicable taxes and separately agreed services are additional. SMS is not included. Review your order and invoice for the amount payable.
The remaining days of the first calendar month are prepaid. Access activates after email verification and confirmed payment. Starting the following month, invoices are issued at month-end and due within 15 days. Adding or closing a property is prorated by calendar day. Contact support to cancel or resolve a charge; cancellation does not remove amounts already due. Price changes apply prospectively with notice, not retroactively to paid service. Material suspension for non-payment will follow notice and a reasonable opportunity to resolve the issue, except where urgent security or unlawful activity requires immediate action.

3. Customer responsibilities
Keep account credentials private, assign appropriate permissions, maintain accurate contact and billing information, and promptly remove departed staff. You retain your rights in submitted content and authorize its processing to provide the service. You are responsible for lawful collection and sharing of that content, staff notices, safe maintenance procedures, appropriate technician qualifications and verification of records. Do not upload malicious content, attempt unauthorized access or use public links to disclose private information. Review sensor placement, connectivity, batteries, calibration and operating limits and maintain independent checks appropriate to your risks.

4. Operational and safety limitations
CORE-FM is an operational record and coordination tool, not an emergency response, fire/life-safety, security, medical or certified regulatory compliance system. Sensor readings, scheduled work, notifications and reports may be delayed, inaccurate or unavailable because of connectivity, power, equipment, provider failures or configuration. Do not rely on the platform as the sole safeguard against injury, food spoilage, flooding, equipment damage or regulatory non-compliance. Independently verify critical conditions and follow required inspection and emergency procedures. No specific uptime, notification latency, backup recovery time or uninterrupted service is promised unless separately agreed in writing.

5. Security, data and third parties
We take reasonable measures to operate and protect the service but cannot guarantee prevention of every intrusion, loss or interruption. Report suspected compromise promptly to support. Keep independent copies of essential procedures and records and request exports before closure. We remain responsible for obligations imposed on us by applicable law. Third-party networks, gateways, devices and providers have their own operating limits and may impose their own terms. Hardware warranties and remedies are subject to the applicable product terms and mandatory law; these service terms do not invent or extend a manufacturer's warranty.

6. Warranty and liability allocation
To the extent permitted by applicable law, the service is supplied as available without additional implied warranties of uninterrupted operation, fitness for a particular purpose or error-free data. Neither party is liable to the other for indirect, incidental, special or consequential losses, or loss of anticipated profit, resulting from use or unavailability of the service, to the extent such exclusion is lawful.
To the extent permitted by law, Logic Foundry Solutions Inc.'s total aggregate liability arising from the service is limited to the CORE-FM subscription fees paid or payable by the affected customer for the 12 months immediately before the event giving rise to the claim. This limit and the exclusions do not apply to fraud, wilful misconduct, gross negligence, or any liability or remedy that cannot lawfully be excluded or limited. They do not waive statutory privacy obligations, regulator powers or non-waivable consumer rights. Nothing requires the customer to indemnify us for our own misconduct.

7. Ending service and disputes
Contact support to arrange closure, export or a billing dispute. We will provide reasonable assistance subject to identity verification, technical feasibility, lawful retention and any separately agreed work. We may terminate for a material breach after notice and reasonable opportunity to remedy, unless immediate action is reasonably necessary to protect the service or comply with law. Alberta law and applicable Canadian federal law govern, subject to mandatory rights and jurisdiction rules that apply to the customer. Contact support first to try to resolve disputes. Material changes to these terms will be communicated before they apply; acceptance records are not rewritten retroactively.
